*** IN-HOUSE PENSIONS & EMPLOYMENT LAWYER - OIL MAJOR ***

To apply for this role you should be trained at a top tier UK law firm witha minimum of 5 years PQE, idealyl a secondment and any experience of employment law, compliance and EU pensions law would be essential. The role will require you to:

  • To be Secretary to the Trustee of the UK Pension Plan. This has 3 principal components:
  • To be part of the Executive team (also composed of the Chair and Investment and Pensions Managers) running the Plan under the direction of the Trustee Board, with particular responsibility for Plan governance and ensuring that obligations under the Trust Deed & Rules (the governing document of the Plan) and law are satisfied. Examples are:
  • new matters, which could be legislative or regulatory requirements or recommendations: much of the work of the Trustee is internalised in work groups and committees. The two principal committees are Investment and Risk & Planning. The Secretary is currently a full member of the latter (the only non-Board member).
  • ongoing matters (similar to a. but in place) such as keeping the Conflict of Interest register, participating in the annual assessment of employer covenant & reporting to the Board on the adviser review process for legal advisers
  • matters arising, such as:

ii. legal issues concerning Trustee adviser contracts

iii. being part of the Request for Proposal team under the adviser review process when this goes to market, including drafting/negotiating the adviser contract in compliance with Company policy (which the Trustee has adopted)

  • Instructing the legal advisers to the Trustee: this includes reporting to the Board on all legal matters, simplifying for them (as non-specialists) complex pension law issues; recommending and managing the Trustee budget for legal advisers and holding the Trustee's DoA (Delegation of Authority) in legal areas
  • Meeting & filing duties: the trustee (which is incorporated) holds quarterly Board meetings. The Secretary is responsible for the minutes and meeting Companies Act requirements
  • Legal support for investment arrangements made by the Plan..
  • To give/arrange for UK pensions legal support to the Company/sponsor of the Plan (in the event of a conflict of interest, the Secretary is elected to the Company)
  • To give/arrange for pensions legal support to non-UK plans as required. Non UK Defined Benefit Plans are based on Nederlands (2), Ireland (1) and Belgium. There is significant scope to provide legal support to these plans as the role develops.
